Description of the Company:

Perio-Imaging Inc. (“PII”) is a Delaware corporation formed in 2004 to commercially exploit an ultrasonographic periodontal probe system it developed (the “Perio-Imager”). Development of the Perio-Imager (including its hardware, software and proprietary hand piece) took three years to complete.  PII has filed three U.S. patents and one international patent on its technology and expects to introduce several significantly enhanced versions of the Perio-Imager in 2009 and 2010.  To date, approximately $3 million has been invested in finalizing the development of the Perio-Imager.

The Perio-Imager uses state-of-the-art computer and software technology and provides many important benefits when compared to the manual probing method currently being used by dentists to determine if their patients have periodontal disease.


Management:

PII's management team and its advisors and consultants have extensive experience in successfully developing advanced computer imaging tools and systems for the dental industry.  PII's management has assembled a world class group of professionals to assist them in implementing their business model.

Barry J. Berman, Esq. is an experienced executive and an attorney.  He has been involved in high-technology medical transactions since 1980 and the financial services industry since 1969.  Mr. Berman serves as PII's President and interim CFO.

Fredrick C. Lane M.D., F.A.C.S., was Dean of Students at Harvard Medical School for three years and has 35 years experience as a General and Cancer Surgeon.  In addition, he has developed advanced healthcare information systems and was a co-founder and the CEO of Managed Health Systems Ltd., which developed and marketed a computer-based disease management system throughout Europe, South America and the U.S.  Dr. Lane serves as PII's Senior Vice President - Medical Director and is principally responsible for product development and clinical research.

Professional Advisors and Consultants:

PII has assembled an all star team of prominent dentists, other dental professionals and consultants to assist it with developing its business model.  For example, Dr. S. Timothy Rose, past president of both the American Dental Association (“ADA”) and the American Academy of Periodontology (“AAP”), is Chairman of PII's Advisory Board.  Dr. Rose consulted on the development of, and served as principal investigator for, the Perio-Imager and proved the efficacy of the Perio-Imager's underlying technology by confirming its accuracy on his own patients;

In addition, the following dental professionals are members of PII's Dental Advisory Board and are assisting it in implementing its business plan:

  • Dr. Michael McGuire past president of the AAP;
  • Dr. Michael Rethman past president of the AAP;
  • Dr. Laurence Brody, the first president and CEO of CIGNA Dental Health Insurance Company;
  • Dr. Angelo J. Mariotti, Professor and Department Chair, Periodontology Academic Unit, The Ohio State University College of Dentistry;
  • Dr. Keven Arnold, past president of the Fox River Valley Dental Society; and
  • Gilia Rethman, RDH, one of the most prominent dental hygienists in the U.S. today, formerly Editor-in-Chief of the Journal of Practical Hygiene and currently Editorial Director for Dimensions of Dental Hygiene, one of the leading magazines for dental hygienists (audited circulation of 70,000+ dental hygienists).
  • Bruce J. Haber, is a senior member of PII’s Business Advisory Board.  Bruce founded Micro-Biomedics, Inc., one of the largest regional medical products companies in the U.S., and later sold it to Henry Schein, Inc. for more than $100 million.  Bruce then became President of their Medical Group and served as a Director of Henry Schein, from 1997 to 1999.  Bruce’s group had sales of $750M and 1,400 employees.  Bruce is assisting PII in implementing its business model and is expected to be actively involved in structuring PII’s sales and distribution channel.

The following entities are currently involved in developing PII's technology and assisting it with implementing its business model:

MPR Associates, Inc.

MPR, headquartered in Alexandria , Virginia , is one of the leading design and engineering firms in the world and is serving as Project Manager to complete the current and several future versions of the Perio-Imager.  MPR is expected to continue to develop additional enhancements that should be of great interest to dentists and their patients.

Patton Boggs LLP

Patton Boggs, headquartered in Washington, D.C., is a 400 attorney law firm with special expertise in submissions to the Federal Drug Administration (“FDA”), and serves as PII's FDA Counsel and assists it with its dealings with the FDA. They also serve as PII's Intellectual Property Counsel and assisted it with the four patents PII filed in March, 2006.

DLA Piper Rudnick Gray Cary

DLA Piper is the second largest law firm in the U.S. with more than 3,600 attorneys. They will serve as PII's Corporate and Securities Counsel and assist it with its dealings with the various federal and state departments, bureaus and agencies that PII will be working with.

Becker & Associates

Becker & Associates, headquartered in Washington, D.C., is a highly-experienced, unique scientific consulting firm with special expertise in 510(k) submissions to the FDA, and will serve as PII's FDA Approval Manager and assist it with its dealings with the FDA.
